A Resolution of the Board of Directors of the AS, SDSU Amending and Restating the Articles of Incorporation

WHEREAS, The Articles of Incorporation of this corporation have been amended a single time over the past twenty-five years; and

WHEREAS, the Board of Directors wish to further amend the Articles of Incorporation; and

WHEREAS, California Corporations Code Section 5819 permits nonprofit public benefit corporations to amend and restate the Articles of Incorporation in order to consolidate all amendments into a single instrument; and

WHEREAS, the Articles of Incorporation, authorize the Board of Directors to amend the Articles of Incorporation of the corporation;

NOW, THEREFORE, THE BOARD OF DIRECTORS HEREBY RESOLVES AS FOLLOWS:

  1. That the amended and restated Articles of Incorporation set forth in the certificate appended hereto as Exhibit D is approved.
  2. That the corporation President and Executive Vice President are authorized and directed to execute said certificate and to file the executed certificate with the California Secretary of State.

 

Adopted by the Board of Directors at its regular meeting on February 22, 2005.
