Proposed Bylaws: AS Alumni Chapter
ARTICLE I
NAME
This organization shall be known as the Associated Students Alumni Chapter. It is a charitable and educational entity as dictated by SECTION 501 (c) (3) of the Internal Revenue Code of 1954 and operated under the exception granted the San Diego State University Alumni Association (SDSUAA), as a fundamental operating unit of those Associations. * Associated Students Alumni Chapter hereinafter called the ASAC.
ARTICLE II
PURPOSE
The purposes of this organization are to further the interests of the Associated Students at San Diego State University and its alumni; to establish closer contact between the Associated Students and its alumni; to promote activities beneficial to alumni, current Associated Students members and the University; to assist in the recruitment of students and to publicize and promote, develop alumni chapter, and Associated Students interests.
ARTICLE III
MEMBERSHIP AND DUES
SECTION 1
All former SDSU students and current SDSUAA members are eligible for membership. Qualifications of active membership in the chapter: A current member of the SDSUAA. Members of the Aztec Associates and SDSUAA may join. (Bylaws of the Associated Students of San Diego State University, Article II – Membership, SECTION 2, Members of the Aztec Associates of the Association shall be any persons who purchase membership in the Association. Eligibility shall be determined by the Associated Students Board of Directors (also referred to as the A.S. Council). ASAC members can be members of more than one chapter.
SECTION 2
All dues-paying members shall be authorized to vote on all ASAC matters.
SECTION 3
Extend membership to all alumni of the University who are eligible for membership and hold all events in facilities where members are welcome on an equal basis.
SECTION 4
This organization does not discriminate on the basis of race, age, color, national origin, religion, gender, sexual orientation, veteran status, medical condition or disability. This non-discrimination covers membership and access to treatment and employment in the ASAC group’s programs and activities.
SECTION 5
Annual Dues - Dues for all alumni chapters are $10 single/ $15 dual annually. Dues are paid in addition to the Alumni Association’s annual or life membership fee. In order to be an active member of a chapter you must be a member of the SDSUAA.
ARTICLE IV
OFFICERS
SECTION 1
The officers of this chapter shall consist of a president, vice president, vice president of recruitment, and treasurer. All officers shall be elected for a one (1) year term. An officers’ elected term will begin May 1 of each year and will end April 30 of the following year.
SECTION 2
Vacancies in any of the offices may be filled by the president from among the active members of ASAC for the unexpired portion of the term upon approval by the voting board members.

All elected officers or directors shall fit the membership qualifications as stated above and as follows:
ARTICLE V
DUTIES OF OFFICERS
SECTION 1 Role of the President
Shall preside at all meetings of the chapter and of the executive committee. Make committee appointments and shall be an ex-officio member of all committees. Preside at all executive board and general meetings. Appoint committees and advise other officers and committee chairs. Delegate specific responsibilities to officers and committees
Lead the overall operations and programs of chapter
Work closely with the executive board to establish and achieve the chapter goals. Call meetings of the board, recommend and direct the execution of policies and procedures together with specific programs in the interest of the chapter and Associated Students Inc. Ensure that all executive board members hold membership in the SDSUAA and the chapter. Serve as the primary contact and work directly with the Associated Students Council and the SDSUAA. Responsible to ensure all charter review materials are submitted annually by June 1 to the SDSUAA office. See Chapter Handbook, Chapter Guidelines – Minimum Requirements section.
SECTION 2 Role of the Vice President
Shall perform all duties of the president in the absence of that officer and shall render assistance in the performance of the business of the chapter. Assist the president in coordinating and directing committee activities and the chapter’s operations and perform such duties as may be delegated by the president; Recommend to the president goals, plans, and programs for the benefit of the chapter and the SDSUAA;
Advise the president on matters of policy and procedure; and
Coordinate and disseminate information about the ASAC and the SDSUAA to potential new members.
SECTION 3 Role of Vice President of Recruitment
Prepare and distribute agendas with the A.S. staff assistance.
Ensure the minutes of all executive board and general meetings are recorded and distributed appropriately
Maintain a record of the chapter’s board of directors, including the work and home addresses and phone numbers (including fax and email if available); ensure that an up-to-date board list is on file in the Associated Students Government Affairs Office and the SDSU Alumni office
Work in conjunction with all officers on recruitment publicity and events.
Work in conjunction with the A.S. Council secretary/A.S. Executive Vice President regarding ASAC recruitment of outgoing A.S. Council and or Board/Committee members.
SECTION 4 Role of Treasurer
Work with the president in preparing budgets for activities and events
In conjunction with the ASAC President and Associated Students Inc. Accounting Department, prepare a detailed annual report of financial activity and provide a copy to the Alumni Association by June 1 of each fiscal year.
Collect and deposit fees for any special events and fund-raisers in accordance with policies and procedures established by the Associated Students Accounting Department and the SDSUAA.
Responsible for coordinating and maintaining all financial records of the chapter.
Serve as historian and custodian of the group’s permanent documents in conjunction with the Associated Students Government Affairs Office.
SECTION 5 Role of Executive Board of Directors
Support and assist the officers whenever needed
Provide input and feedback on goals, objectives, and planning
Chair or serve on committees to help plan and execute programs, and attend a majority of the chapter’s activities
Assist in the solicitation of new members and new leadership.
Members-at-Large are defined as ASAC members in good standing that do not hold an executive officer position elected by voting ASAC membership. The ASAC Executive Board of Directors will consist of two members-at-large.
SECTION 6 Removal of Executive Board of Directors
The ASAC shall have the authority to remove a voting member for cause provided that:
The cause is specified in the ASAC bylaws and in effect at the beginning of the voting member’s term of office.
The cause is related to qualifications of the voting member to continue in office such as the breach of duties and responsibilities provided for in the bylaws, and the breach of fiduciary responsibilities.
The action is done in good faith and in a fair and reasonable manner.
ARTICLE VI
COMMITTEES
SECTION 1 Executive Board of Directors
The Executive Board of Directors shall consist of the elected officers, two elected ASAC members at-large, appointed A.S. Council chapter liaison, appointed SDSUAA Chapter Liaison and the immediate past president, all of whom shall have voting rights. All other past presidents, A.S. staff are ex-officio, non-voting members of this committee.
ARTICLE VII
MEETINGS
SECTION 1
The Executive Board of Directors shall hold bi-monthly meetings, and at least one annual general member meetings per year shall be called as needed. Other meetings or events will be held as called.
SECTION 2
Members will be notified at least 30 days in advance of the annual meeting.
The Chapter Liaison of the SDSUAA is to be notified 60 days in advance of the meeting date if support is needed from the SDSUAA Office.
SECTION 3
The secretary shall ensure preparation of the official minutes of any business meeting within 30 days after the meeting. A copy of the minutes shall be mailed to the Board of Directors and a copy shall be available to any active member. A master file will be kept by the Associated Students Government Affairs Office. The SDSU Alumni Association’s Executive Director is to be provided with the minutes/reports of each meeting.
ARTICLE VIII
NOMINATION AND ELECTIONS
The current ASAC President shall reside over nominations and elections. Nominations and elections will take place no later than April 3rd of current ASAC President’s presiding term. ASAC members shall present/solicit at least one nominee for each officer/member-at-large position and shall have obtained prior consent from the nominee. Elections shall be by mail-ballot, unless otherwise determined, with simple majority of all voting ASAC members required for election.
ARTICLE IX
DISSOLUTION
Dissolution of this chapter shall be determined in consultation with the Associated Students Council and the San Diego State University Alumni Association, as outlined in the Associated Students bylaws and SDSUAA Chapter Handbook, Chapter Guidelines and Procedures section – Suspension/Dissolution.
ARTICLE X
AMENDMENTS
Amendments to these bylaws may be made by an affirmative vote of 2/3 majority of voting members at any regular meeting of the chapter, providing that membership has received seven (7) days prior notification of the proposed changes(s). Amendments to these bylaws shall be done in consultation with the Associated Students Council and notification upon approval of ASAC to SDSUAA.
